Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs your use of NinovaHost Limited's services. By using our services, you agree to comply with this policy and all applicable Nigerian laws, including but not limited to the Cybercrimes (Prohibition, Prevention, etc.) Act 2015.

1. Prohibited Activities

  1. Illegal Activities

    You may not use NinovaHost services for any purpose that violates Nigerian law or international law. This includes but is not limited to: distribution of pirated software, copyright infringement, trademark violations, fraud, identity theft, money laundering, terrorist financing, or any activities prohibited under the Cybercrimes Act 2015.

  2. Network Abuse and Security Violations

    You may not attempt unauthorized access to any systems, conduct port scanning, vulnerability testing without authorization, distribute viruses or malware, engage in denial of service attacks, or interfere with the proper functioning of NinovaHost or third-party networks. Violation of the Nigerian Data Protection Regulation (NDPR) 2019 is strictly prohibited.

  3. Prohibited Content

    You may not host or distribute content that is defamatory, obscene, pornographic (especially content involving minors), promotes violence, incites hatred based on race, religion, ethnicity, or gender, or violates intellectual property rights. Content that violates Nigerian censorship laws or community standards is prohibited.

  4. Spam and Unsolicited Communications

    Sending unsolicited bulk emails (spam), hosting websites that promote spam, operating mail bombing services, or using our services to send messages that violate Nigerian communications regulations is strictly prohibited.

  5. Resource Abuse

    Excessive use of server resources that negatively impacts other customers, cryptocurrency mining (unless explicitly authorized), running file-sharing or torrent applications on shared hosting, or storing backup-only data on hosting accounts is not permitted.

2. Zero Tolerance Spam Policy

NinovaHost maintains a zero-tolerance policy for spam. Any account found sending spam will be immediately suspended. Spam includes but is not limited to:

  1. Bulk unsolicited emails to recipients who have not opted in
  2. Email sent to harvested or purchased email lists
  3. Messages sent without a clear unsubscribe mechanism
  4. Deceptive or misleading subject lines or sender information

3. Compliance with Nigerian Law

All customers must comply with:

  1. The Cybercrimes (Prohibition, Prevention, etc.) Act 2015
  2. The Nigeria Data Protection Regulation (NDPR) 2019
  3. The Copyright Act Cap C28 LFN 2004
  4. The Criminal Code Act Cap C38 LFN 2004
  5. All applicable regulations from the Nigerian Communications Commission (NCC)

4. Enforcement

  1. Investigation

    NinovaHost reserves the right to investigate any suspected violation of this AUP. We may access account content when necessary to ensure compliance or respond to legal requirements.

  2. Suspension

    Accounts found in violation may be immediately suspended without prior notice. We will attempt to notify you of the violation and provide an opportunity to remedy the situation, except in cases of severe violations or legal requirements.

  3. Termination

    Repeated or severe violations may result in permanent account termination without refund. NinovaHost reserves the right to refuse service to anyone at our sole discretion.

  4. Legal Cooperation

    We will cooperate fully with law enforcement agencies and comply with valid legal requests for information. We may report illegal activities to appropriate Nigerian authorities.

Copyright and Intellectual Property Policy

NinovaHost Limited respects intellectual property rights and complies with the Copyright Act Cap C28 LFN 2004 and international copyright treaties. We expect our customers to do the same.

1. Copyright Infringement

Hosting, distributing, or facilitating access to copyrighted material without proper authorization is strictly prohibited. This includes but is not limited to:

  1. Pirated software, music, movies, or other media
  2. Unauthorized copies of licensed software or digital products
  3. Trademark violations or brand impersonation
  4. Counterfeiting or distribution of fake products

2. DMCA-Style Takedown Procedure

While Nigeria is not party to the DMCA, we follow similar procedures for handling copyright complaints:

Notice of Infringement

Copyright holders may submit takedown requests to legal@ninovahost.com including:

  1. Identification of the copyrighted work claimed to be infringed
  2. Identification of the allegedly infringing material and its location
  3. Contact information of the copyright holder
  4. A statement of good faith belief that the use is not authorized
  5. A statement that the information is accurate
  6. Physical or electronic signature of the copyright holder or authorized representative
Counter-Notice Procedure

If you believe content was removed in error, you may submit a counter-notice including:

  1. Identification of the removed material and its previous location
  2. A statement under penalty of perjury that you have a good faith belief the content was removed in error
  3. Your contact information
  4. Consent to jurisdiction of Nigerian courts
  5. Your physical or electronic signature

3. Repeat Infringer Policy

Accounts with multiple substantiated copyright violations will be permanently terminated. We maintain records of copyright complaints and take escalating action against repeat offenders.

4. Trademark Protection

Use of NinovaHost services to infringe trademarks, including domain squatting or brand impersonation, is prohibited and may result in immediate account suspension.

Backup Policy

NinovaHost performs regular backups of customer data as part of our disaster recovery procedures. However, these backups are for NinovaHost's operational purposes and disaster recovery only.

1. Customer Responsibility

  1. Primary Backup Responsibility

    You are solely responsible for maintaining your own backups of all data, files, databases, emails, and content stored on NinovaHost servers. We strongly recommend maintaining regular off-site backups.

  2. No Backup Guarantee

    While we perform routine backups, NinovaHost makes no guarantee that backups will be available, complete, or restorable. Backup availability is subject to technical limitations and system capacity.

  3. Backup Restoration Limitations

    We do not guarantee the ability to restore from backups. Restoration requests may incur fees and are subject to backup availability. We cannot guarantee specific recovery time objectives (RTO) or recovery point objectives (RPO).

2. NinovaHost Backup Practices

  1. Backup Frequency

    Server backups are typically performed daily, but this schedule may vary based on service plan and server load. Backup frequency is not guaranteed and may be adjusted without notice.

  2. Backup Retention

    Backups are typically retained for 7-30 days, depending on the service plan. Older backups may be automatically purged to conserve storage resources.

  3. Restoration Fees

    While we may provide backup restoration as a courtesy, we reserve the right to charge fees for restoration services, particularly for large-scale restorations or frequent requests.

3. Limitations and Disclaimers

  1. NinovaHost is not responsible for data loss due to customer error, malicious activity, hardware failure, or any other cause
  2. Backups may not capture all data, particularly data modified between backup intervals
  3. Some data types (such as email stored via IMAP) may not be included in regular backups
  4. Account termination or suspension may result in backup deletion

4. Recommended Backup Practices

We strongly recommend:

  1. Maintaining at least three copies of important data (3-2-1 backup rule)
  2. Storing backups in geographically diverse locations
  3. Regularly testing backup restoration procedures
  4. Using automated backup tools or services
  5. Encrypting sensitive backup data

Terms of Service

These Terms of Service ("Terms") govern your use of services provided by NinovaHost Limited ("NinovaHost," "we," "us"), a company registered in Nigeria. By using our services, you agree to these Terms.

1. Agreement to Terms

By creating an account or using NinovaHost services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Acceptable Use Policy, Privacy Policy, and all other policies referenced herein. These Terms constitute a legally binding agreement between you and NinovaHost Limited.

2. Service Description

NinovaHost provides web hosting, domain registration, email hosting, and related services. Specific features and limitations depend on your chosen service plan. We reserve the right to modify, suspend, or discontinue any service at any time.

3. Account Eligibility and Registration

  1. You must be at least 18 years of age to create an account
  2. You must provide accurate, complete, and current information during registration
  3. You are responsible for maintaining the confidentiality of your account credentials
  4. You are responsible for all activities under your account
  5. One person or entity may not maintain multiple accounts for the same service without written authorization
  6. You must immediately notify us of any unauthorized use of your account

4. Acceptable Use

Your use of NinovaHost services must comply with our Acceptable Use Policy, Privacy Policy, and all applicable Nigerian and international laws. Prohibited activities include but are not limited to illegal content, spam, malware distribution, and resource abuse.

5. Payment Terms

  1. Billing Cycle

    Services are billed on a recurring basis according to your selected plan (monthly, annually, etc.). All fees are stated in Nigerian Naira (NGN) or US Dollars (USD) as specified.

  2. Payment Methods

    We accept payment via credit card, debit card, bank transfer, and other methods as specified on our website. Payment processing may be handled by third-party payment processors.

  3. Automatic Renewal

    Services automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method for renewal fees.

  4. Price Changes

    We reserve the right to modify pricing with 30 days' notice. Price changes do not affect current billing periods but apply to subsequent renewals.

  5. Taxes and Fees

    Prices exclude applicable taxes, including Nigerian VAT, which will be added to invoices as required by law. You are responsible for all taxes associated with your account.

  6. Late Payment

    Failure to pay by the due date may result in service suspension or termination. A late fee may be applied to overdue accounts. Services suspended for non-payment may be reactivated upon payment of all outstanding amounts plus any applicable fees.

  7. Payment Disputes

    Payment disputes must be submitted in writing within 30 days of the invoice date. Disputed amounts do not relieve you of payment obligations for undisputed amounts.

6. Refund Policy

Please see our separate Refund Policy for detailed information on refunds and money-back guarantees. Generally:

  1. Shared hosting includes a 30-day money-back guarantee
  2. Domain registrations and transfers are non-refundable
  3. Setup fees and add-on services are non-refundable
  4. Refunds are processed to the original payment method

7. Service Availability and Uptime

  1. We strive for 99.9% uptime but do not guarantee uninterrupted service
  2. Scheduled maintenance will be announced with reasonable notice when possible
  3. We are not liable for downtime caused by circumstances beyond our reasonable control
  4. Uptime guarantees, if applicable, are specified in your service plan and subject to terms and conditions

8. Data and Content

  1. Your Content

    You retain ownership of all content you upload or create using our services. You grant NinovaHost a license to host, store, and transmit your content as necessary to provide services.

  2. Content Responsibility

    You are solely responsible for your content and ensuring it complies with all applicable laws. NinovaHost is not responsible for reviewing or monitoring customer content.

  3. Prohibited Content

    You may not upload or distribute content that violates our Acceptable Use Policy or applicable laws.

  4. Content Removal

    We reserve the right to remove content that violates our policies or applicable laws without prior notice.

9. Resource Usage

Shared hosting accounts are subject to resource usage limits. Excessive resource consumption that impacts server performance or other customers may result in account suspension or upgrade requirements. Resource limits include CPU usage, memory, disk I/O, and bandwidth.

10. Domain Names

  1. Domain registration is subject to registrar terms and ICANN policies
  2. You are responsible for ensuring domain information is accurate and current
  3. Domain renewals are your responsibility; we may send renewal reminders as a courtesy
  4. Expired domains may be subject to redemption fees
  5. Domain transfers require authorization and may be subject to transfer fees

11. Account Suspension and Termination

  1. By NinovaHost

    We may suspend or terminate your account for violations of these Terms, non-payment, illegal activities, or resource abuse. In cases of severe violations, termination may be immediate without notice.

  2. By Customer

    You may cancel your account at any time through your control panel or by contacting support. Cancellation does not relieve you of payment obligations for the current billing period.

  3. Effect of Termination

    Upon termination, your access to services will be revoked. Data may be retained for a brief period for backup purposes, after which it will be permanently deleted. We are not responsible for data loss resulting from account termination.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW:

  1. NinovaHost's total liability for any claims arising from these Terms or your use of services shall not exceed the amount you paid to NinovaHost in the 12 months preceding the claim
  2. We are not liable for indirect, incidental, consequential, or punitive damages
  3. We are not responsible for data loss, business interruption, lost profits, or damages resulting from service unavailability
  4. Force majeure events (natural disasters, war, terrorism, power failures, internet outages) do not create liability for NinovaHost

13. Indemnification

You agree to indemnify and hold harmless NinovaHost, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of services, violation of these Terms, or infringement of third-party rights.

14. Disclaimers

  1. Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind
  2. We do not warrant that services will be uninterrupted, error-free, or secure
  3. We are not responsible for third-party services, software, or content
  4. You are responsible for evaluating the suitability of services for your needs

15. Governing Law and Dispute Resolution

  1. These Terms are governed by the laws of the Federal Republic of Nigeria
  2. Disputes shall be resolved in Nigerian courts with jurisdiction over NinovaHost's registered office
  3. Before initiating legal action, parties agree to attempt good-faith negotiation
  4. You may also pursue remedies through relevant Nigerian regulatory bodies

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or account notification. Continued use of services after changes constitutes acceptance of modified Terms.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Domain Registration Agreement

This Domain Registration Agreement governs the registration and management of domain names through NinovaHost Limited. By registering a domain name, you agree to this Agreement and the policies of the relevant domain registry and ICANN.

1. Domain Registration Service

NinovaHost acts as a domain registrar or reseller, facilitating domain registration through accredited registrars. We do not control domain registry policies and are bound by their terms and conditions.

2. Domain Availability and Registration

  1. Domain availability is subject to real-time registry status
  2. Domain registration is complete only upon registry confirmation
  3. Payment does not guarantee domain registration if the domain becomes unavailable
  4. Certain domains may have specific registration requirements or restrictions

3. Registration Fees

  1. Payment Requirement

    Full payment is required before domain registration. Domain fees are non-refundable once registration is confirmed by the registry.

  2. Renewal Fees

    Domain renewal fees are subject to change. Current pricing is available on our website. Failure to renew before expiration may result in domain deletion.

  3. Registry Fee Increases

    If domain registries increase their fees, we reserve the right to pass these increases to customers.

4. Domain Registration Information

  1. Accuracy Requirement

    You must provide accurate, complete, and current contact information (WHOIS data) for domain registration. False or inaccurate information may result in domain suspension or cancellation.

  2. WHOIS Privacy

    We offer WHOIS privacy protection for eligible domains. Privacy protection may not be available for all domain extensions and may be subject to additional fees.

  3. Information Updates

    You must update registration information within 7 days of any changes. Failure to maintain accurate information violates ICANN policy and may result in domain suspension.

  4. Verification

    ICANN requires email verification of domain contact information. Failure to verify may result in domain suspension.

5. Domain Ownership and Control

  1. You are the legal owner of domains registered through NinovaHost
  2. NinovaHost does not claim ownership of your domains
  3. Account holder information determines domain ownership rights
  4. Domain disputes are subject to ICANN's Uniform Domain-Name Dispute-Resolution Policy (UDRP)

6. Domain Renewal and Expiration

  1. Auto-Renewal

    Domains may be set to auto-renew. You are responsible for ensuring payment methods are current and funds are available.

  2. Renewal Notices

    We send renewal reminders as a courtesy, but delivery is not guaranteed. It is your responsibility to track renewal dates.

  3. Grace Period

    Most domains have a grace period after expiration during which renewal is still possible. Grace periods vary by domain extension.

  4. Redemption Period

    Domains not renewed during the grace period may enter redemption status, requiring additional fees for recovery.

7. Domain Transfers

  1. Transfer Authorization

    Domain transfers require an authorization code (EPP code) and must be initiated by the domain owner.

  2. Transfer Restrictions

    Domains cannot be transferred within 60 days of registration or previous transfer. Some registries impose additional restrictions.

  3. Transfer Fees

    Transferring a domain typically includes a one-year renewal at current pricing.

  4. Transfer Cancellation

    Transfer requests may be cancelled within the registrar's specified timeframe.

8. Domain Disputes

Domain disputes are subject to ICANN's UDRP and relevant registry policies. NinovaHost will comply with valid dispute resolution decisions. We may place domains on hold pending dispute resolution.

9. Domain Deletion and Release

  1. Expired domains that are not renewed will be deleted according to registry policy
  2. Deleted domains may become available for public registration
  3. NinovaHost is not responsible for loss of domains due to non-renewal
  4. We do not backorder or attempt to register customer domains upon deletion

10. Prohibited Domain Uses

Domain names may not be used for:

  1. Illegal activities or content
  2. Trademark infringement or brand impersonation
  3. Phishing, spam, or malware distribution
  4. Activities prohibited by our Acceptable Use Policy

11. Registry and ICANN Policies

Domain registrations are subject to policies of the relevant registry operator and ICANN. These policies may change without notice. Key policies include:

  1. ICANN Registrar Accreditation Agreement (RAA)
  2. ICANN Uniform Domain-Name Dispute-Resolution Policy (UDRP)
  3. Registry-specific policies for each TLD
  4. Transfer policies and procedures

Hosting Services Agreement

This Hosting Services Agreement supplements our Terms of Service and governs the provision of web hosting, email hosting, and related services.

1. Service Plans and Features

  1. Hosting features vary by plan and are subject to fair use limitations
  2. "Unlimited" features are subject to reasonable use policies and may not be used for file storage, backups, or other non-hosting purposes
  3. We reserve the right to modify plan features with reasonable notice
  4. Service upgrades take effect immediately; downgrades take effect at the next billing cycle

2. Server Resources and Fair Use

  1. Resource Allocation

    Shared hosting accounts share server resources with other customers. Excessive resource usage may impact server performance.

  2. Resource Monitoring

    We monitor server resources including CPU usage, memory, disk I/O, and network bandwidth. Accounts exceeding resource limits may be suspended or required to upgrade.

  3. Prohibited Uses

    Shared hosting may not be used for: file storage or sharing services, backup storage, image hosting services, cryptocurrency mining, high-resource applications, proxy services, or IRC servers.

3. Email Services

  1. Email accounts are subject to storage limitations specified in your plan
  2. Outgoing email is subject to sending limits to prevent spam
  3. Mass email or mailing list services require prior authorization
  4. Email forwarding and autoresponders must comply with anti-spam policies

4. Data and Backups

  1. You are responsible for maintaining backups of your data (see Backup Policy)
  2. NinovaHost performs system backups for disaster recovery but does not guarantee backup availability
  3. Backup restoration may incur fees and is subject to data availability
  4. Account termination may result in permanent data deletion

5. Security

  1. Account Security

    You are responsible for securing your account, including using strong passwords, keeping software updated, and securing file permissions.

  2. Malware and Hacking

    Compromised accounts may be suspended to protect server integrity. You are responsible for cleanup and remediation of infected accounts.

  3. SSL Certificates

    Free SSL certificates are provided through Let's Encrypt for eligible domains. Custom or extended validation certificates may be purchased separately.

6. Support

  1. Technical support is provided via email, ticket system, and live chat as specified in your plan
  2. Support covers hosting platform issues, not website development or third-party software debugging
  3. Response times vary by plan and issue priority
  4. Support is provided in English

7. Service Level Agreement (SLA)

Uptime guarantees, if applicable, are specified in your service plan. SLA credits require a support ticket within 7 days of the outage. Scheduled maintenance and circumstances beyond our control are excluded from SLA calculations.

8. Migration Services

  1. Free migrations are subject to plan availability and website complexity
  2. We make reasonable efforts to ensure accurate migration but do not guarantee zero downtime or perfect replication
  3. You are responsible for verifying migrated data and updating DNS records

Refund Policy

NinovaHost offers refunds on select services as outlined in this policy. Refunds are subject to the terms and conditions specified herein.

1. 30-Day Money-Back Guarantee

  1. Eligible Services

    Shared hosting plans (starter, business, professional) include a 30-day money-back guarantee for first-time customers.

  2. Eligibility Requirements

    Refund requests must be submitted within 30 days of initial purchase. This applies only to the first hosting invoice, not renewals.

  3. Refund Amount

    Refunds are limited to the hosting fee. Setup fees, domain registrations, SSL certificates, and add-on services are non-refundable.

2. Non-Refundable Items

The following items are non-refundable under all circumstances:

  1. Domain name registrations and transfers
  2. Domain privacy protection
  3. SSL certificates (paid)
  4. Dedicated IP addresses
  5. Setup or installation fees
  6. Server management services
  7. Migration services
  8. Custom development work
  9. Renewal fees
  10. VPS and dedicated server services (unless otherwise specified)

3. Renewals

Service renewals are non-refundable. It is your responsibility to cancel services before renewal if you do not wish to continue. Forgotten cancellations do not qualify for refunds.

4. Refund Request Process

  1. Refund requests must be submitted through our support ticket system
  2. Include your account information and reason for the refund request
  3. Refund requests are processed within 7-14 business days
  4. Refunds are issued to the original payment method

5. Account Termination

Accounts terminated for violations of our Terms of Service or Acceptable Use Policy are not eligible for refunds. All fees paid are forfeited.

6. Chargeback Policy

  1. Initiating a chargeback instead of contacting support may result in account termination
  2. Chargebacks filed during the money-back guarantee period forfeit your eligibility for future refunds
  3. We may dispute illegitimate chargebacks and charge a processing fee

7. Service Credits

In lieu of refunds, we may offer service credits for service disruptions or customer satisfaction issues. Service credits have no cash value and cannot be transferred.

8. Exceptions

We may grant refunds outside of this policy at our sole discretion on a case-by-case basis. Such exceptions do not establish precedent or modify this policy.
